I have a biz idea and need money to start it what's the best way to share the revenues with venture capitalist


I need money to start a business and I need an angel investor or venture capitalist. How can I share the incomes and the company ownership?

While it would be nice to hear that there is lots of money out there just waiting for you to drop by and get it, the truth is that no one (and I mean that literally) will give you any money at all to start working on your biz idea.

Venture capital firms are large organizations who invest millions of dollars in businesses with enormous potential in a short time frame. Angel investors are quite different; they are individual wealthy people who invest some of their own money in early stage deals. But they, too, are deluged with opportunities, and even the most active angels invest in only one out of 20 or so business plans they see.

Note that the key term above is 'business plans'. To have any chance at getting funded by anyone, you will need a complete business plan (usually 30 or so pages, just to put things in perspective) laying out detailed plans and projections for your business. Investors will want to know all about you and your background, the market, the product, etc. And then, IF they decide to invest, they will tell YOU under what terms they are prepared to invest (usually they would purchase preferred stock in your corporation, getting about 30-50% of the company for their investment.)

A wonderful place to get information about starting a business is the eVenturing site (first link below) developed by the Kauffman Foundation. It is targeted at entrepreneurs, and will give you lots of leads on how to develop a business plan, get financed, etc.

If you really think that you're ready for funding, however, you can check out the directory of the Angel Capital Association (second link below), the national trade association of angel investing groups, to find the ones nearest to you.

Approach this very carefully. Try, if you can, to have individual investors float your idea. It may even make sense to try to borrow the money from traditional lenders. VC firms will want no less than 25% of your company, boards seats and a very real voice in management.

Make sure you own lawyers approve your agreement with your seed investors, too. There are some onerous pitfalls involved you wish to avoid at all costs. No amount of caution is too great.

You can float your own offering to the public under Regulation D of the Securities and Exchange Act of 1933. This is not terribly expensive and you maintain control of your equity and outflows of cash to your investors. You may sell debt ot equity this way and you can hire firms that will get your securities out to the investors to consider.
