What's the cheapest way to dissolve an LLC in NC?


I started one in July of this year, but I haven't commenced doing business yet, and I don't see the sense in paying all the related fees when I can do business as a sole proprieter (for much cheaper) and then later incorporate or form an LLC once money is coming in.

Since I haven't done ANY business, and I have no debt, it may be as simple as merely filing Articles of Dissolution, but I'm not sure. What to do?

I would think about your original intention for forming an LLC. Did you want the legal protection of your personal assets? Why has that changed? If it hasn't, I'd probably continue the LLC even though you'll show a loss for this coming year.

That's unless you truly have little risk of lawsuit and you formed an LLC without understanding the business types.

I don't live in NC so I can't give anything specific. In Kansas it's pretty simple. A form and a fee. That's it.

One more thing, you started in July and you're still not building your business yet. That sounds like you're procrastating and now you're looking for an excuse to avoid following through.

not sure- depends upon state to state and i'm not from their. Best bet would be to talk with a lawyer and see what they have to say.

Do the work yourself, its easy: go to your state's Secretary of Sate office and ask for the form. You can also find it on line but by going there you can ask questions. The filing fee is usually less than $50 and it has specific requirements that vary from state. Some have to be filed at the capital (Albany) but you can mail it using certified mail, with your check and the completed forms.
