Penny stocks do not trade on an ordinary exchange. There are no listing requirements and they are not subject to normal SEC reporting requirements. You cannot be sure that any financial information on these companies is accurate, so you can't properly evaluate the companies.

These stocks are also usually thinly traded. You may not be able to find a buyer when you're ready to sell.

Finally, the prices of penny stocks are easily manipulated by fraud artists. Its no secret that these stocks are often used in scams, leaving the holders with losses.
