It's illegal to ask the public at large in the US and many other Western Nations unless you have a Prospectus that is represented by a Licensed commidities broker with an Opion from a Lawyer licensed to practise law in a given state that states in his opinion your proposals "Seems" to meet the test of the law.

You are allowed to approach no more than 100 relatives privately and offer a partnership, limited parnership or sells stock in a Closely Held company so long as the offerings do not exceed a total of 100 total "shares" or other types of notes.

Anything else is a violation of the SEC rules and you are subject to huge fines and jail time as a felon under US law.
