A non-bank person or organization that trades securities in large enough share quantities or dollar amounts that they qualify for preferential treatment and lower commissions. Institutional investors face fewer protective regulations because it is assumed that they are more knowledgeable and better able to protect themselves.

An institutional investor is an organization that is either trading for other people -- mutual funds, trust companies -- or trading on it's own behalf, as wall street firms and money center banks do.

Buy-side means the firm will buy the stock for its own accounts (on behalf of customers as in a mutual fund) and that work is unavailable to the public. For example, a mutual fund employs a buy-side analyst who determines if a certain stock is right for a particular mutual fund's portfolio.

A sell-side analyst works for a brokerage firm and those recommendations are made public (the firm is "selling" the stock idea to its clients).
