Accredited Investor Rules - International Investments?

Can anyone provide insight into this specific situation - can a US accredited investor invest in a Canadian firm? or does the Canadian firm need to establish a US LLC in order to accept investments?

Thanks

As per JT - this is a privately held company.

Before someone could answer this question, they would need to know if you are referring to a privately owned company? In which case you could be an angel investor, in which you would give them money in exchange for shares of the company.
If you are referring to a publicly traded company, there are things called ADR's American Depository Receipts which allows you to invest in Canadian companies all day long on the New York Stock Exchange. If you want to see what I mean, go to finance.yahoo.com and type in the ticker CSIQ (Canadian Solar).
If you are talking about the former, I would think NAFTA would have your back. If you are talkinga about a million dollar plus investment, don't ask yahoo - ask your attorney.
