For attorney/paralegal: LLC with members in different states?

I am co-authoring a book with a friend in California - I live in Arizona.
For the purpose of keeping copyrights, ownership, funds distribution and costs managed, we want to form an LLC, with her and me being the only (for now) 2 members.
I have filed and published an LLC before, but only in Arizona.
Will the articles have to be published both in California and in Arizona?
Will they have to be filed in both states?
If you know of anything else I have to consider, please include it in the answer. Thanks!

No you only need to (in fact you can only) form an LLC that is either a California or an Arizona LLC. Its your choice. However, you need to qualify to do business in the other jurisdiction, which is a filing you make when you are a foreign (meaning not from the state, not not from the country) entity.

With such a small enterprise you actually may be able to avoid having to qualify to do business in the other state -- if you are otherwise using an attorney for your publishing stuff I'd get their opinion. I can't give you legal advice, but I'd strongly consider just forming in one jurisdiction and letting the dice fall where they may in the other state. After all, with an LLC you each are paying individual taxes on it and there is no entity level tax.
