Depends on where you are located. If by raising capital you mean selling shares, then you must register those shares with the SEC if you are selling them to US investors. Similar laws in other jurisdictions. You should speak with a securities lawyer before attempting to do this or you risk serious fines and maybe criminal prosecution. Second biggest risk would seem to be that nobody buys.
